These Terms and Conditions govern the contractual relationship between AlphaStrive Services and our clients utilizing our technological expertise and support.

Agreement Acceptance
 
The commencement of work, indicated by signing a Statement of Work (SOW) or paying a retainer/subscription fee, constitutes the client’s full acceptance of these Terms and Conditions.

Scope of Work (SOW) Reliance
 
AlphaStrive’s obligations are strictly limited to the tasks, deliverables, and timelines explicitly detailed in the signed SOW or Managed Service Agreement (MSA). Any work outside this scope will require a formal Change Order and adjusted pricing.

Client Cooperation
 
The client must provide timely decisions, access (physical or virtual) to necessary systems, accurate documentation, and feedback required for AlphaStrive to perform its services efficiently. Delays caused by lack of cooperation may incur additional charges.

Payment Terms
 
All invoices are due and payable within 15 days of the invoice date unless otherwise specified in the SOW. AlphaStrive reserves the right to suspend services for overdue accounts exceeding 30 days.

Intellectual Property (IP) Rights
 
Unless otherwise agreed, all IP for custom software developed by AlphaStrive is transferred to the client upon full and final payment for the project. AlphaStrive retains the IP rights for its underlying tools, methodologies, and pre-existing code libraries.

Warranty and Support
 
AlphaStrive warrants that custom software will conform to the functional specifications for a period of 90 days post-delivery. This warranty does not cover issues arising from client modification, external software changes, or hardware failure.

Limitation of Liability (Maximum Cap)
 
AlphaStrive’s total liability for any and all claims, including negligence, shall not exceed the total fees paid by the client to AlphaStrive in the three (3) months immediately preceding the event giving rise to the claim.

Indemnification
 
The client agrees to hold AlphaStrive harmless against any claims, damages, or liabilities arising from the client’s misuse of the delivered technology or breach of any third-party software license agreements.

Data Backup Responsibility
 
While AlphaStrive supports backup solutions, the client retains ultimate responsibility for ensuring that all critical data is regularly backed up. AlphaStrive is not liable for data loss unless explicitly caused by gross negligence during a managed service task.

Termination of Service
 
Either party may terminate a service agreement by providing 30 days written notice. Upon termination, the client must pay for all services rendered up to the effective termination date.

Governing Law and Jurisdiction
 
These Terms shall be governed by the laws of Pakistan. Any disputes shall be submitted to the exclusive jurisdiction of the courts located in Shergarh (or the nearest major city as applicable).

Non-Solicitation
 
During the term of the agreement and for twelve (12) months thereafter, the client agrees not to directly solicit or hire any AlphaStrive personnel who worked directly on their project without AlphaStrive’s written consent.
